DIRECT STUDY – TERMS & CONDITIONS
1. DEFINITIONS
- “Direct Study” means Direct SWA Holdings Pty Ltd ACN [690 530 860], trading as Direct Study, its employees, agents, and permitted assigns.
- “Customer” means the person, firm, or entity requesting or acquiring Services from Direct Study.
- “Services” means the concierge and referral services provided by Direct Study, including but not limited to airport pickup, SIM card provisioning, bank account setup, accommodation arrangement, public transport card setup, internship and part-time work connection, tax file number setup, and health insurance arrangements.
- “Service Providers” means third-party providers engaged by Direct Study to deliver the Services or related services.
2. BASIS OF AGREEMENT
2.1 These Terms and Conditions (“Terms”) apply exclusively to all services provided by Direct Study to the Customer. They supersede any other terms and cannot be varied except by prior written agreement.
2.2 By engaging Direct Study’s Services (including accepting a quote, booking, or making payment), the Customer agrees to be bound by these Terms.
2.3 Direct Study may refuse service at its sole discretion without obligation to provide reasons.
2.4 It is the Customer’s responsibility to provide accurate and complete information necessary for Direct Study to perform the Services.
3. SERVICES AND FEES
3.1 Direct Study will provide the Customer with the following inclusions as part of its services:
(a) an initial SIM card, inclusive of the first month’s fee; and
(b) an initial Myki recharge, capped at AUD $20.
3.2 Direct Study may assist the Customer by facilitating the booking of an airport pickup service with an independent third-party provider. The Customer acknowledges and agrees that:
(i) Direct Study is not the provider of the airport pickup service;
(ii) the Customer’s contractual relationship in respect of the airport pickup is directly with the third-party provider; and
(iii) Direct Study accepts no responsibility or liability for the acts, omissions, performance, safety, or conduct of the third-party provider or its personnel.
3.3 For all other services, including (without limitation) health insurance, banking, accommodation, ongoing telecommunications services and fees (beyond the initial SIM card month), internships, and part-time employment placement, Direct Study acts solely in a facilitative or referral capacity. The Customer is solely responsible for the payment of any premiums, fees, deposits, charges, or other amounts imposed by the relevant service provider.
3.4 Direct Study may charge the Customer for optional or personalised assistance packages. Any such fees will be disclosed in advance and agreed upon prior to commencement of the services.
3.5 Direct Study may receive commissions, referral fees, or other forms of consideration from service providers in connection with introductions or referrals made by Direct Study. The Customer acknowledges and agrees that such commissions, fees, or other consideration are the property of Direct Study and are not refundable to the Customer, unless expressly stated otherwise in writing.
3.6 Except for the inclusions expressly specified in clause 3.1, Direct Study does not assume responsibility for, nor subsidise, any fees, charges, or other amounts levied by third-party service providers.
4. CUSTOMER CONSENT AND AUTHORITY
4.1 By using the Services, the Customer authorizes Direct Study to share personal information with relevant Service Providers for the purpose of arranging and facilitating Services.
4.2 The Customer acknowledges that certain Services (e.g., bank account setup, health insurance) may require sharing sensitive information and consents to such sharing.
4.3 The Customer authorizes Direct Study to act as their agent for making arrangements with Service Providers and acknowledges that Direct Study is not the principal provider of the services referred.
5. CUSTOMER OBLIGATIONS
5.1 The Customer must provide all required information accurately and promptly.
5.2 The Customer must cooperate with Direct Study and Service Providers as necessary to facilitate the provision of Services, including attending scheduled appointments or providing documentation.
5.3 The Customer is solely responsible for payments to Service Providers and for complying with terms of those providers.
6. SERVICE PROVIDER TERMS
6.1 The Customer acknowledges that Direct Study is not responsible for the quality, availability, terms, or performance of services provided by Service Providers.
6.2 All services provided by third parties are subject to their individual terms and conditions, over which Direct Study has no control.
7. LIMITATION OF LIABILITY
7.1 To the maximum extent permitted by law, Direct Study excludes all liability for any loss, damage, or expense arising out of or in connection with the Services or any failure or delay in providing Services.
7.2 Direct Study is not liable for any indirect, consequential, or special damages including lost profits or business interruption.
7.3 Nothing in these Terms limits any non-excludable statutory rights.
8. CANCELLATION AND REFUNDS
8.1 Cancellation and refund policies will be clarified at the time of booking and may vary depending on the Service type. Any refundable fees are subject to Service Provider terms.
8.2 Direct Study reserves the right to cancel or suspend Services at any time without liability, including for force majeure events.
9. CONFIDENTIALITY AND PRIVACY
9.1 Direct Study collects and handles personal information in accordance with its Privacy Policy, available at https://directstudy.com.au/privacy-policy/
9.2 By engaging Direct Study, the Customer consents to the collection, use, and disclosure of their information as detailed therein.
9.3 Sensitive data required for Services will be handled securely, but the Customer understands that Direct Study does not control the privacy practices of Service Providers.
10. MISCELLANEOUS
11.1 If any part of these Terms is found invalid or unenforceable, the remainder shall continue in full force.
11.2 Direct Study may update or amend these Terms from time to time; updated versions will be published on its website and effective immediately.
